Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Indy (the “Service”), operated by Fabricant (“Fabricant,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Indy lets you host, share, and track HTML artifacts (such as decks, documents, and interactive demos), share them as access-gated links, bundle them into collections, and see engagement from the people you share with. We may add, change, or remove features over time.
2. Accounts & eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for your account, for keeping your credentials secure, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
3. Your content
You retain all ownership of the artifacts, files, and other materials you upload or create (“Your Content”). You grant us a limited, non-exclusive license to host, store, render, transmit, and display Your Content solely to operate and provide the Service to you and your recipients (for example, generating a preview image of an artifact, or serving it to a verified recipient).
You are solely responsible for Your Content and represent that you have all rights necessary to upload and share it, and that it does not infringe any third party’s rights or violate any law.
4. Acceptable use
You agree not to use the Service to:
- upload, host, or distribute unlawful, infringing, defamatory, or harmful content;
- distribute malware, or artifacts whose scripts attempt to harm, deceive, or exfiltrate data from viewers;
- send unsolicited bulk or spam email, or email people who have not consented to hear from you, using the Service’s sending features;
- harass, abuse, or violate the privacy of any person, including recipients;
- circumvent plan limits, rate limits, access gates, or other technical controls;
- reverse engineer, scrape, or overload the Service, or use it to build a competing product;
- misrepresent your identity or affiliation, or use the Service for phishing.
We may remove content or suspend accounts that violate these Terms, and may report unlawful activity to authorities.
5. Sharing & recipients
When you add recipients or enable a lead-capture or domain-access link, you are responsible for ensuring you have a lawful basis to contact those people and to process their email addresses and engagement data. You instruct us to process recipient data on your behalf to provide the sharing and analytics features you use. Do not share confidential or regulated data through the Service unless your plan and configuration are appropriate for it.
6. Plans, billing & refunds
The Service offers a free tier and paid subscription plans. Paid plans are billed in advance on a recurring basis through our payment processor, Stripe, and renew automatically until cancelled. You can cancel at any time from your billing settings; cancellation takes effect at the end of the current billing period.
- Fees are non-refundable except where required by law. We do not provide prorated refunds for partial periods or unused capacity.
- We may change prices or plan features with reasonable notice; changes apply to the next billing cycle.
- If a payment fails, we may suspend paid features or downgrade your workspace to the free tier. Over-limit artifacts may be paused (not deleted) on downgrade.
- You are responsible for any applicable taxes.
7. Beta & early features
Some features may be offered as beta or early-access and are provided “as is,” may change or be withdrawn, and may be less reliable than generally available features.
8. Our intellectual property
The Service, including its software, design, and trademarks (such as “Indy” and “Fabricant”), is owned by us and our licensors and is protected by intellectual property laws. These Terms grant you no rights to our marks or software except the limited right to use the Service.
9. Third-party services
The Service relies on third-party providers (for example, hosting, database, email, analytics, screenshot rendering, and payments). Your use of the Service may be subject to those providers’ terms. We are not responsible for third-party services we do not control.
10. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, create risk or legal exposure for us, or if providing the Service is no longer commercially viable. On termination, your right to use the Service ends; we may delete Your Content after a reasonable period.
11. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any analytics are accurate.
12. Limitation of liability
To the maximum extent permitted by law, Fabricant will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or profits. Our total liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the amounts you paid us in the twelve months before the claim, or (b) US $100.
13. Indemnification
You will indemnify and hold harmless Fabricant from any claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your violation of these Terms or any law or third-party right.
14. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the date above and, where appropriate, notify you. Continued use of the Service after changes take effect constitutes acceptance.
15. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not subject to arbitration or small-claims court.
